General terms and conditions ALDU Group<\/h1>\n\n

Article 1 - General<\/strong><\/p>\n\n

1.1 These general terms and conditions apply to all offers, agreements and deliveries of products by ALDU Group, located at De Traanbok 7F, 1601 MD Enkhuizen.<\/p>\n\n

1.2 These terms and conditions apply to all our business customers, such as wholesalers, construction companies, and other business customers.<\/p>\n\n

Article 2 - Offers and agreements<\/strong><\/p>\n\n

2.1 All offers made by ALDU Group are non-binding and subject to revision without prior notice.<\/p>\n\n

2.2 An agreement is established after written confirmation from ALDU Group or after delivery of the products.<\/p>\n\n

Article 3 - Delivery<\/strong><\/p>\n\n

3.1 Deliveries shall be made from our warehouse in the Netherlands, unless otherwise agreed in writing.<\/p>\n\n

3.2 ALDU aims to deliver within the agreed timeframe, but we cannot be held liable for any delays.<\/p>\n\n

3.3 The risk of the products passes to the buyer at the time of delivery.<\/p>\n\n

Article 4 - Prices and payment<\/strong><\/p>\n\n

4.1 All prices are exclusive of VAT and any other levies.<\/p>\n\n

4.2 Payment shall be made within 30 days of the invoice date, unless otherwise agreed in writing.<\/p>\n\n

4.3 If the payment term is exceeded, the buyer is legally in default and ALDU may charge statutory interest.<\/p>\n\n

Article 5 - Retention of title<\/strong><\/p>\n\n

5.1 The delivered products remain the property of ALDU Group until full payment has been made.<\/p>\n\n

5.2 The buyer is not entitled to pledge or otherwise encumber the products until ownership has been transferred.<\/p>\n\n

Article 6 - Liability<\/strong><\/p>\n\n

6.1 ALDU Group shall not be liable for any indirect damage, such as consequential damage, loss of profit or business interruption.<\/p>\n\n

6.2 Any liability of ALDU is limited to the amount covered by the insurance, with a maximum of the invoice amount of the delivered products.<\/p>\n\n

Article 7 - Warranty<\/strong><\/p>\n\n

7.1 ALDU Group guarantees that the delivered products meet the usual requirements and standards.<\/p>\n\n

7.2 Any defects must be reported to ALDU in writing within 8 days of delivery. Failing this, all rights to warranty lapse.<\/p>\n\n

Article 8 - Force majeure<\/strong><\/p>\n\n

8.1 In case of force majeure, ALDU Group has the right to suspend the execution of the agreement or dissolve the agreement without ALDU being liable to pay damages.<\/p>\n\n

8.2 Force majeure shall mean any circumstance beyond ALDU's control as a result of which ALDU cannot reasonably be expected to comply with the agreement.<\/p>\n\n

Article 9 - Applicable law and disputes<\/strong><\/p>\n\n

9.1 All agreements between ALDU Group and the buyer shall be governed by Dutch law.<\/p>\n\n

9.2 Disputes shall be submitted to the competent court in the district where ALDU is located.<\/p>\n\n
